These Research Terms and Conditions (referred to as the "Terms"), which are located on this website, permanently located on the Internet at the network address: able.ac or related subdomains. (referred to as the "Website"), set forth the terms of an Agreement by which You (referred to as the "Participant") and AEGIS ALPHA SA,с/o Fidraco SA, Baarrerstrasse 25, Zug 6300, Switzerland, registration number CHE-236.808.880 (referred to as the "AEGIS ALPHA" or "ABLE"), may participate from time to time in any ABLE's product research, usability studies, survey or any other research activity (referred to as the "Research"). You must be at least 18 years of age in order to become a Participant.ABLE reserves the right to change these Terms at any time without notice.
These Terms are effective upon acceptance and govern the Participant's engagement in Research together with special research terms and conditions governing the particular research activity, the Participant has selected to take part in. If you do not agree to be bound by the Terms, you may terminate the Agreement entered into with ABLE at any time by sending an email to [email protected].
In order to participate in the Research, the Participant must leave an application by writing his/her e-mail address in the appropriate place on the Website. After submitting the application, the e-mail left by the Participant should receive a letter with the relevant survey required for the Research or should be automatically redirected to survey or questionary form.
ABLE reserves the right to exclude any Participant from any Research at any time for any reason.
The Participant acknowledges that ABLE may need to gather and process some personal data from them in order for the Participant to take part in any Research. Your personal data will only be processed for the purposes of carrying out the Research, the Research assessment, sending of messages by ABLE concerning the Research. The personal data you provide to ABLE will be processed in accordance with ABLE's Privacy Policy available at the following link able.ac/privacy-policy.
The Participant understands that installation of any third-party software components on their personal computer is solely within their responsibility and authority. ABLE takes no responsibility and will accept no liability for the performance of any third-party software tools.
Any information provided to the Participant, whether directly or to which access is gained, during or as a result of the Research shall be kept confidential by the Participant. The Participant shall not engage in the dissemination or publication of any such confidential information as this might subject ABLE to damage or be detrimental to ABLE's goodwill. This duty of confidentiality is perpetually binding upon the Participant. The Participant shall not use the confidential facts and information to their advantage or to the advantage of third parties. Confidential Information does not include information which: (i) becomes part of the public domain through no fault of the Participant; (ii) is independently developed by or has been within the custody of the Participant; (iii) is learned by the Participant from a third party but not being under any confidentiality obligation; or (iv) is required to be disclosed under applicable law or any other legislation that may apply to the Participant or any other party/person.
The User understands that:- the Research and surveys are free and unpaid;- according to the results of the Research and survey, the User will not receive any products or services;- ABLE does not guarantee that any services will be provided in the future.
The Participant understands that when they use this Website and conducting the Research, ABLE does not provide the Participant with access to any product or resource, and also ABLE does not undertake to provide such access in the future. With the help of this Website ABLE testes the potential demand among the Participants and collect the information that ABLE will receive during the Research.
The Participant agrees to defend, indemnify and hold ABLE, its employees, directors, officers, agents, and their successors and assigns harmless from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to us or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfillment of any of the Participant's obligations under these Terms or arising out of the Participant's violation of applicable law or any other legislation that may apply to the Participant or any other party/person, regulations including but not limited to intellectual property rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights. This clause shall survive the expiry or termination of the Terms and/or the Agreement.
This Agreement is governed by the laws of Switzerland (referred to as the "Applicable law"). All disputes arising from this Agreement will be resolved by the applicable courts in accordance with the provisions of the Applicable law.
The relationship between ABLE and the Participant is independent in nature and the Participant shall not claim to be a partner, employee, agent, or joint venture partner of or with ABLE, nor claim any benefits available to the personnel of ABLE under/before any law or legislation.
If any part of the Terms is determined to be invalid or unenforceable pursuant to Applicable law or any other legislation that may apply to the Participant or ABLE or any other party/person, then the invalid or unenforceable provision will be deemed to be superseded by the valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms shall continue in effect. Unless otherwise specified herein, these Terms constitute the entire terms between the Participant and ABLE and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the Participant and ABLE with respect to the Research. Our failure to act with respect to a breach by the Participant or others does not waive our right to act with respect to subsequent or similar breaches.
ABLE may revise this Agreement from time to time in ABLE’s sole discretion. If there are any material changes to this Agreement ABLE will notify the User on this Website and as required by Applicable law. User understands and agrees that he/she will be deemed to has accepted the updated Agreement if User continues to use the Website after the new Agreement takes effect.
